日本取引所自主規制法人は、3月30日「上場会社における不祥事予防のプリンシプル」を公表しました。
上場会社は、不祥事（重大な不正・不適切な行為等）を予防する取組みに際し、その実効性を高めるため本プリンシプルを活用することが期待される。この取組みに当たっては、経営陣、とりわけ経営トップによるリーダーシップの発揮が重要である。
3月20日に開催したBDTIセミナー『企業不祥事から学ぶガバナンス強化策』にて講師の渡辺樹一氏から近時の企業不祥事実例の分析結果とそこから得られる効果的なガバナンス強化策を示唆していただきました。また、BDTIが定期的に開催している一日役員研修『国際ガバナンス塾』では、会社法、金商法、財務、ガバナンスといった視点から攻めと守りのガバナンスの役割について事例を交えながら考え、『役員力』を高めることが不祥事の未然防止、企業価値の向上の要であることを再認識していただきます。
