BDTI to Hold its Next English “Director Boot Camp”

BDTI will hold its next English-language Director Boot Camp on Tuesday, September 25th. Thisintensive programteachesparticipantsthe keylegal and corporate governance knowledgethey need to responsibly serve on, report to, or analyze boards of Japanese companies, both public and private. The course consists of short lectures interspersed with ample time for interactive discussion and questions-and-answers about real-life situations that occur on boards, and how to handle them. The program will cover topics such as:

Introduction to corporate governance and the role of directors and the board

What is legally required of directors under the Japanese Company Law?

Legal and liability issues that directors should be aware of, and how to deal with them

Director duties and conflict-of-interest situations

The role of statutory auditors, and the audit process; the internal control system

The role of the board in strategy and performance measurement

Introduction to “best practices”, committees, succession planning, and risk management

Changing “corporate governance culture” in organizations

Instructor:

Nicholas Benes- Representative Director, The Board Director Training Institute of Japan; President and Representative Director, JTP Corporation, K.K.; Governor, American Chamber of Commerce in Japan

Mr. Benes received his B.A. in political science from Stanford University, and a JD-MBA degree from UCLA, after which he worked at JP Morgan for 11 years. He is an inactive member of the bar in California and New York, and is certified as a securities salesman in London and Japan. Currently, he is a Governor of the American Chamber of Commerce in Japan (ACCJ), where he also is Chair of the FDI Committee and the Growth Strategy Task Force. In the past, he served as Chair of the FDI Task Force of the ACCJ, and as a member of the Experts Committee of the Japan Investment Council, an advisory committee to the Japanese Cabinet on FDI policy. He has also served as an independent outside director at Alps Mapping, the listed company Cecile Ltd., and Livedoor Holdings (post-scandal). In 2010, he was a member of the Financial Service Agency’s Corporate Governance Liaison Committee, which had been formed to provide private sector input to the Ministry of Justice and the Legal Affairs Advisory Council regarding amendment of Japanese Company Law.
